Welcome to Fabric Base Inc. Wholesale Terms & Conditions
The following Terms & Conditions govern all orders placed with Fabric Base Inc., including past, current, and future purchases. These terms are designed to ensure clarity and fairness in all transactions. By reviewing and proceeding with orders, you acknowledge that you have read, understood, and agreed to these terms. By signing this agreement, Buyer acknowledges they have read, understood, and agree to be fully bound by these Terms & Conditions. This agreement applies to all past, current, and future orders. Buyer may request a copy at any time via email (info@fabricbases.com), certified mail, or by contacting Fabric Base Inc. directly. A copy is also available online at https://www.fabricbases.com/wholesale-fabrics#terms; if the link is inaccessible, Buyer may request an alternative copy from Fabric Base Inc.
2. Product Description:

All fabric is sold “as is.” Descriptions, photographs, swatches, samples, catalogs, or marketing materials are informational only and do not constitute warranties, guarantees, endorsements, or representations.
3. No Warranties:

Fabric Base Inc. makes no warranties, express or implied, including suitability, merchantability, fitness for a particular purpose, colorfastness, shrinkage, flammability, durability, compliance with standards, or use in regulated products. Buyer assumes full responsibility for testing and legal compliance.
4. Orders, Deposits, Payment:

All orders, deposits, and prepayments are non-refundable. Payment is due as invoiced. Late payments incur 10% annual interest plus collection costs. Fabric Base Inc. may refuse, cancel, or modify orders at its discretion.
5. Shipping & Risk:

All goods ship at Buyer’s risk. Fabric Base Inc. is not liable for loss, damage, theft, delay, or errors by carriers or third parties. Shipping, duties, tariffs, and insurance are Buyer’s responsibility. Delivery dates are estimates only.
6. Inspection & Claims:

Buyer must inspect goods immediately upon receipt. Claims for defects, shortages, or errors must be submitted in writing within 5 business days via mail, email, or phone. No claims are accepted after goods are cut, washed, altered, or used.
7. Returns & Exchanges:

Returns or exchanges require prior written authorization. Unauthorized returns will not be accepted. Shipping and handling costs for returns are Buyer’s responsibility.
8. Limitation of Liability:

To the maximum extent permitted by law, Fabric Base Inc. shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, personal injury, property damage, or loss of use.
9. Indemnification:

Buyer agrees to indemnify, defend, and hold harmless Fabric Base Inc., its officers, employees, agents, affiliates, and assigns from any claims, damages, liabilities, losses, costs, or expenses, including attorney’s fees, arising from use, handling, resale, or legal compliance of purchased goods.
10. Governing Law & Jurisdiction:

This agreement is governed by California law. All disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. Buyer waives objections to jurisdiction or venue.
11. Force Majeure:

Fabric Base Inc. is not liable for delays or failures caused by events beyond its control, including natural disasters, strikes, carrier issues, or other unforeseen circumstances.
12. Non-Waiver:

Failure to enforce any provision does not waive the right to enforce it later.
13. Confidentiality:

Any pricing, discounts, or special terms disclosed by Fabric Base Inc. are confidential and must not be shared.
14. Electronic Agreement:

Signatures, emails, or online acknowledgments are valid and binding.
15. Severability of Remedies:

If any remedy is invalid or unenforceable, remaining remedies are still available.
16. Cumulative Remedies:

All remedies are cumulative and may be enforced together.
17. Acknowledgment of Risk:

Buyer assumes all risk for use of fabrics, including resale, fashion, décor, industrial purposes, or other applications.
18. Prohibited Uses:

All fabrics sold by Fabric Base Inc. are strictly not for use in children’s products, sleepwear, bedding, or for pets. They are not suitable for any purpose requiring safety compliance. Fabrics are sold only for general adult use. Fabric Base Inc. will not be responsible or liable for any injuries, damages, or losses resulting from any prohibited use.
19. Assignment:

Fabric Base Inc. may assign rights under this agreement. Buyer may not assign rights without prior written consent.
20. Dispute Resolution / Arbitration:

Any dispute arising under this agreement shall first be submitted to binding arbitration in Los Angeles County, California before court action, unless otherwise mutually agreed.
21. Notice:

All notices must be in writing and sent via certified mail or email to be valid.
22. Independent Evaluation:

Buyer acknowledges they have had the opportunity to independently evaluate and test the fabric and are not relying solely on statements or representations from Fabric Base Inc.
23. No Agency / Partnership:

Nothing in this agreement creates a partnership, joint venture, or agency relationship between Buyer and Fabric Base Inc.
24. Survival:

Limitation of Liability, Indemnification, Acknowledgment of Risk, Governing Law, and other protective provisions survive termination of this agreement.
25. Headings Not Controlling:

Section headings are for convenience only and do not limit interpretation.
26. Waiver of Jury Trial (Optional):

Buyer may agree to waive jury trial for any dispute under this agreement (if legally enforceable).
27. Severability:

If any provision is invalid or unenforceable, the remaining provisions remain in full force.
28. Entire Agreement:

This constitutes the complete agreement between Buyer and Fabric Base Inc., superseding all prior agreements or communications.
29. Acknowledgment & Binding Effect:

By signing below, Buyer acknowledges they have read, understood, and agree to all Terms & Conditions for all past, current, and future orders.
