1. Acceptance of Terms

By placing an order, making payment, or accepting delivery of goods from Fabric Base Inc., the buyer expressly acknowledges that they have read, understood, and agree to be fully bound by these Terms & Conditions. If the buyer does not agree, they must not purchase or accept delivery of any goods.

2. Product Description

All fabrics sold are provided “as is” with no guarantees, warranties, or representations of any kind. Any descriptions, samples, swatches, photographs, catalogs, or marketing materials are for informational purposes only and do not create any legal obligations or assurances of quality, performance, color, texture, flammability, durability, or suitability for any purpose.

3. No Warranties or Guarantees

Fabric Base Inc. expressly disclaims all warranties, express or implied, including but not limited to:

• Fitness for any purpose, including fashion, costumes, upholstery, décor, industrial, or commercial applications.

• Compliance with safety, regulatory, industry, or governmental standards.

• Use in children’s clothing, sleepwear, or any regulated product.

• Colorfastness, shrinkage, stretching, pilling, fading, fire resistance, or durability.

Buyer assumes all responsibility for testing and verifying fabric suitability and compliance with all applicable laws, codes, or safety standards.

4. Orders, Deposits, and Payment

• All orders, deposits, and prepayments are non-refundable.

• Payment is due as invoiced. Late payments incur 10% annual interest plus reasonable collection costs and attorney’s fees.

• Fabric Base Inc. may refuse or cancel any order at its discretion without liability.

• Buyer assumes full responsibility for any purchase decision, including quantity and type of fabric ordered.

5. Shipping, Delivery, and Risk of Loss

• All goods are shipped at the buyer’s sole risk.

• Fabric Base Inc. is not liable for shipping loss, delay, damage, theft, misrouting, or errors caused by carriers, customs, or third-party logistics providers.

• Shipping, insurance, duties, tariffs, and related costs are the responsibility of the buyer.

• Delivery dates are estimates only; Fabric Base Inc. is not liable for any delay in shipment or delivery.

6. Inspection and Claims

• Buyer must inspect all goods within five (5) business days of receipt.

• Claims for defects, shortages, errors, or damages must be submitted in writing via:

• Claims will not be accepted for goods that have been cut, washed, altered, or otherwise used.

• Fabric Base Inc. may require photographic evidence or return of the disputed goods prior to resolution.

• Failure to submit claims within the 5-day period constitutes waiver of any claims.

7. Returns and Exchanges

• Returns or exchanges require prior written authorization. Unauthorized returns will not be accepted.

• Shipping and handling costs for returns or exchanges are the responsibility of the buyer.

• Fabric Base Inc. may refuse return requests at its sole discretion.

8. Limitation of Liability

• To the maximum extent permitted by law, Fabric Base Inc. shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from the purchase, use, resale, or inability to use the products.

• This includes, but is not limited to, damages for lost profits, business interruption, personal injury, property damage, or loss of use.

9. Indemnification

Buyer agrees to indemnify, defend, and hold harmless Fabric Base Inc., its officers, employees, agents, affiliates, and assigns from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney’s fees) arising from:

• Use, handling, resale, or alteration of the fabrics.

• Any failure to comply with laws, codes, or safety standards.

• Any dispute or claim related to the goods purchased.

10. Governing Law, Jurisdiction, and Dispute Resolution

• These Terms & Conditions are governed by the laws of the State of California without regard to conflict of law principles.

• Any disputes shall be resolved exclusively in the state or federal courts of Los Angeles County, California.

• Buyer waives any objection to jurisdiction or venue in these courts.

• Parties may mutually agree to arbitration, but Fabric Base Inc. retains the right to require litigation in California courts.

11. Severability

If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms & Conditions constitute the entire agreement between the buyer and Fabric Base Inc. regarding the sale of fabrics and supersede all prior agreements, negotiations, or communications, whether oral or written.

13. Acknowledgment

By purchasing, making payment, or accepting delivery of fabric, the buyer acknowledges that they have read, understood, and accepted these Terms & Conditions in full, and that these terms govern all transactions with Fabric Base Inc.
